Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Joebox desktop application ("Software", "App") and the website at joebox.app ("Website"), provided by Startup Europe India Network Ltd ("Company", "we", "us", "our"), a company registered in Ireland.

By downloading, installing, or using Joebox, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use Joebox on devices you own or control, subject to these Terms.

• Free Tier: You may use Joebox with up to 5 accounts at no cost, for personal or commercial use, indefinitely.
• Pro License: A valid license key (purchased through our authorized payment provider) unlocks additional features including unlimited accounts, workspace groups, notification inbox, and Do Not Disturb mode.
• Restrictions: You may not reverse-engineer, decompile, disassemble, modify, distribute, sublicense, resell, or create derivative works of the Software. You may not circumvent or attempt to circumvent any license validation, feature gating, or usage limits in the Software.

2. License Keys and Activation

• License keys are personal to the purchaser and may not be shared, transferred, sold, or published.
• Each license key may be activated on a reasonable number of devices owned by the licensee (typically up to 3 personal devices).
• We reserve the right to revoke license keys that are shared publicly, used fraudulently, obtained through chargebacks, or used in violation of these Terms.
• The Software periodically validates your license key with our payment provider. Tampering with this validation constitutes a breach of these Terms.

3. Payments and Refunds

• All payments are processed by LemonSqueezy (Lemon Squeezy LLC), our authorized payment provider. By purchasing a license, you also agree to LemonSqueezy's Terms of Service.
• Subscriptions: Pro Monthly and Pro Annual plans automatically renew at the end of each billing cycle. You may cancel at any time through the LemonSqueezy customer portal; cancellation takes effect at the end of the current billing period.
• Lifetime License: A one-time payment granting perpetual access to Pro features and all future updates for the current major version line.
• Refunds: We offer a 30-day money-back guarantee on all paid plans. To request a refund, contact us at support@joebox.app within 30 days of purchase. Refunds are processed through LemonSqueezy. After 30 days, no refunds will be issued.
• Price Changes: We may change pricing at any time. Price changes do not affect existing subscriptions until renewal, and do not affect lifetime licenses.

4. Intellectual Property

Joebox, including its code, design, branding, documentation, and all associated intellectual property, is owned by Startup Europe India Network Ltd. Nothing in these Terms transfers any ownership rights to you. The Joebox name, logo, and brand marks are trademarks of the Company. You may not use them without prior written permission.

5. Your Content and Data

• Joebox operates entirely on your local device. We do not access, collect, store, transmit, or process any of your account credentials, session data, messages, or personal information.
• You are solely responsible for the content you access through the Software and for maintaining the security of your device and accounts.
• You are responsible for backing up your local data. We are not responsible for any data loss resulting from your use of the Software.

6. Third-Party Services

Joebox allows you to access third-party web services (WhatsApp, Gmail, Slack, etc.) within the application. These services are owned and operated by their respective providers. Your use of those services is governed by their respective terms and privacy policies. We are not affiliated with, endorsed by, or responsible for any third-party service.

• We do not guarantee uninterrupted access to any third-party service.
• If a third-party service changes its terms, blocks access, or discontinues service, we bear no liability.
• Trademarks and logos of third-party services displayed in Joebox belong to their respective owners and are used for identification purposes only.

7. Acceptable Use

You agree not to use Joebox to:

• Violate any applicable law, regulation, or third-party terms of service.
• Engage in spamming, phishing, harassment, fraud, or any abusive activity.
• Automate interactions with third-party services in violation of their terms (bots, scrapers, mass messaging).
• Attempt to gain unauthorized access to systems, accounts, or data.
• Distribute malware, viruses, or any harmful software through or alongside Joebox.
• Circumvent, disable, or tamper with any security, license validation, or feature-gating mechanisms in the Software.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY.

• We do not warrant that the Software will be error-free, uninterrupted, secure, or compatible with all systems or third-party services.
• We do not warrant that the Software will meet your specific requirements.
• Any use of the Software is at your sole risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STARTUP EUROPE INDIA NETWORK LTD, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Startup Europe India Network Ltd, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Software; (b) your violation of these Terms; (c) your violation of any third-party rights or applicable laws; or (d) any content or data you access or transmit through the Software.

11. Termination

• You may stop using Joebox at any time by uninstalling the Software.
• We may suspend or terminate your license at any time if you breach these Terms, without prior notice and without refund.
• Upon termination, your license to use the Software is immediately revoked. Sections 4, 5, 8, 9, 10, and 13 survive termination.

12. Updates and Changes

• We may update the Software from time to time. Updates may add, modify, or remove features at our sole discretion.
• We may modify these Terms at any time. Material changes will be communicated via the Website or the Software. Your continued use after changes constitutes acceptance.
• We reserve the right to discontinue the Software at any time. In such event, active subscribers will receive a prorated refund for any unused subscription period.

13. Governing Law and Disputes

These Terms are governed by the laws of Ireland, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Software shall be subject to the exclusive jurisdiction of the courts of Ireland.

Before initiating any formal proceedings, you agree to first contact us at support@joebox.app and attempt to resolve the dispute informally for at least 30 days.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Startup Europe India Network Ltd regarding your use of Joebox, and supersede all prior agreements, understandings, and communications.
